WALLABIES FIRST MEMBERSHIP TERMS & CONDITIONS

1. Interpretation and introduction

1.1 The following terms and conditions (membership terms and conditions) apply to Rugby Australia Limited’s (Rugby AU, we, us, our) Wallabies First memberships: Wallabies First Lions Edition, Wallabies First Plus Lions Edition, Wallabies First Advantage, Wallabies First Plus Advantage and Wallabies First Pack, and may be updated from time to time by Rugby AU. The date these membership terms and conditions were last updated will be set out above. Unless otherwise agreed by you, the membership terms and conditions that were in place at the time you or the original purchaser purchased any Passes will apply to those Passes.

1.2 In these membership terms and conditions, defined terms have the meaning given to them throughout the terms and conditions and/or as follows.

(a) Account refers to the account tied to your Membership and/or otherwise created by you to access a gifted Membership Benefit and/or Offer Pass and corresponding Offer.

(b) Member and/or you/your refers to a holder of a Membership Pass for Wallabies First Lions Edition, Wallabies First Plus Lions Edition, Wallabies First Advantage, Wallabies First Plus Advantage or Wallabies First Pack (as applicable) and/or an individual who has been gifted Membership Benefits and/or an Offer Pass (as the context requires) under these membership terms.

(c) Membership refers to a Member’s relevant membership type (eg Wallabies First Lions Edition, Wallabies First Plus Lions Edition, Wallabies First Advantage, Wallabies First Plus Advantage or Wallabies First Pack).

(d) Membership Benefits refers to the intrinsic rights and benefits attached to a Membership Pass, including the right (where applicable) to gift certain Membership Benefits to others, purchase and/or otherwise access or register for Offer Passes, and/or gift Offer Passes to others after purchase, in accordance with these membership terms and conditions.

(e) Membership Pass refers to a digital membership pass for Wallabies First Lions Edition, Wallabies First Plus Lions Edition, Wallabies First Advantage, Wallabies First Plus Advantage or Wallabies First Pack that operates as the base level membership which the Member can use to access the corresponding Membership Benefits.

(f) Offers refers to benefits, experiences, privileges or similar that may be offered to you to purchase and/or otherwise access or register for via an Offer Pass when you hold a Membership Pass. Offers are separate to the Membership Benefits.

(g) Offer Pass refers to a digital pass used to access the corresponding Offer.

(h) Passes refers to, together, the Membership Pass and the Offer Passes.

(i) Power’d refers to Power’d Digital Pty Ltd (ACN 655 840 887).

(j) Platform refers to Power’d’s platform, through which the Member purchases, gifts to others, receives, and/or accesses the Passes.

(k) Platform Terms means the terms and conditions of your access to, and use, of the Platform which operate between you and Power’d.

(l) Wallabies First Advantage refers to Rugby AU’s Wallabies First Advantage membership program.

(m) Wallabies First Lions Edition refers to Rugby AU’s Wallabies First Lions Edition membership program.

(n) Wallabies First Pack refers to Rugby AU’s Wallabies First Pack membership program.

(o) Wallabies First Plus Advantage refers to Rugby AU’s Wallabies First Plus Advantage membership program.

(p) Wallabies First Plus Lions Edition refers to Rugby AU’s Wallabies First Plus Lions Edition membership program.

1.3 If there is any inconsistency between information in any membership application form and these membership terms and conditions, these membership terms and conditions will prevail.

2. Acceptance of terms and conditions and other rules

2.1 To purchase a Membership Pass and/or access a gifted Membership Pass, Membership Benefit and/or Offer Pass, you will be required to create an Account.

2.2 When you create an Account, you will be required to accept these membership terms and conditions and other relevant terms or policies made available at the point of creation (eg the Platform Terms and/or relevant privacy policies).

2.3 These membership terms and conditions govern your Membership, the operation of Wallabies First Lions Edition, Wallabies First Plus Lions Edition, Wallabies First Advantage, Wallabies First Plus Advantage and Wallabies First Pack, the Passes, Membership Benefits, and Offers and operate between you and Rugby AU.

2.4 The Platform Terms govern your access to, and use of, the Platform, including for the purchase and gifting of, and/or receipt of gifted, Passes and those terms operate between you and Power’d.

2.5 In addition to these membership terms and conditions and the Platform Terms:

(a) there are other rules and regulations referred to throughout these terms that you must also comply with to the extent they apply to you; and

(b) certain Membership Benefits and Offers may be subject to specific rules that are set out in the description of the corresponding Pass (ie the Membership Pass or the Offer Pass) which you also must comply with.

3. What is Wallabies First Lions Edition, Wallabies First Plus Lions Edition, Wallabies First Advantage, Wallabies First Plus Advantage and Wallabies First Pack?

3.1 Wallabies First Lions Edition, Wallabies First Plus Lions Edition, Wallabies First Advantage, Wallabies First Plus Advantage and Wallabies First Pack make up a membership program that provides Wallabies fans with the opportunity to access, register for and/or purchase a variety of experiences, privileges, benefits, or similar, consisting of the following:

(a) A Membership Pass, which is the base level of your Membership, and which comes with the Membership Benefits (that will be detailed on the Platform and viewable prior to purchase). Once you have a Membership Pass, you will have access to the Membership Benefits which will appear in your Account as and when they are available and will be redeemable in accordance with their description in your Account.

(b) Offer Passes, which are used to access the corresponding Offer. The Offers that are available to purchase, or register for, will be detailed on the Platform from time to time and communicated to Account holders.

3.2 It is important to note that different membership types include different Membership Benefits and Offers. Not all Membership Benefits or Offers are, or will be, available in all membership types. It is your responsibility to review and understand the inclusions in your preferred membership type prior to purchasing a membership.

3.3 Unless stated otherwise in the relevant description, a Membership Pass and/or Offer Pass does not provide entry to any venues and/or tickets to any matches (eg Wallabies Test Matches or Lions Tour matches) and separate tickets are required to be purchased.

3.4 You can gift a Membership Pass, certain Membership Benefits, and/or an Offer Pass to someone else, where such functionality is indicated on the Platform within your Account and subject to clause 10 of these membership terms and conditions. 

4. Who can be a Member and who can purchase Offer Passes?

4.1 Wallabies First Lions Edition and Wallabies First Plus Lions Edition: Persons (being companies and individuals over the age of 18 years resident anywhere in the world except for the United Kingdom and the European Economic Area) may purchase a Membership Pass and be Members.

4.2 Wallabies First Advantage, Wallabies First Plus Advantage and Wallabies First Pack: Persons (being companies and individuals over the age of 18 years resident anywhere in the world) may purchase a Membership Pass and be Members.

4.3 Subject to clause 4.4, a person may purchase or hold a maximum of twenty (20) Membership Passes in total. If we reasonably determine you have purchased or hold more than twenty (20) Memberships (including by using false or misleading details to enable you to purchase more than twenty (20) Memberships in total), we reserve the right to cancel all Memberships we reasonably determine are linked to you (and not just those in excess of such limit).

4.4 To purchase a Membership Pass for Wallabies First Plus Lions Edition or Wallabies First Plus Advantage, a person must have previously held a Wallabies First Plus membership with Rugby AU.

4.5 Only persons who hold a Membership Pass can purchase, and/or register for, Offer Passes. Offer Passes may be subject to purchase limits per Member. Such limitations will be set out at the time of purchase or registration.

4.6 Gifting and transfer of Membership Benefits, Membership Passes and Offer Passes is subject to clause 10.

4.7 Rugby AU may refuse the purchase of a Membership Pass to, or cancel Membership of, any person in its sole discretion.

4.8 Notwithstanding the above, Rugby AU reserves the right to offer more than ten (10) Memberships, or to re-offer Memberships which have expired or been cancelled or surrendered.

5. How long does a membership last?

5.1 Wallabies First Lions Edition and Wallabies First Plus Lions Edition commence when you purchase or receive a Membership Pass and will continue until 31 December 2025.

5.2 Wallabies First Advantage, Wallabies First Plus Advantage and Wallabies First Pack commence when you purchase or receive a Membership Pass and will continue until 31 December 2024.

6. When can I buy Passes?

6.1 There will be sale periods for the Passes, and you will not be able to purchase Passes outside of such sale periods. The sale periods will be detailed on the Platform and notified to Account holders from time to time. Rugby AU is not responsible if you miss out on purchasing a Pass due to missing a sale period.

6.2 The date that you purchase a Pass may affect the associated Membership Benefits and/or Offers that you have access to. For example (and without obliging Rugby AU to do so), if there is a secondary sale period for Membership Passes, there may have already been corresponding Membership Benefits that have expired and as such they will not be accessible to you if you purchase a Membership Pass in the secondary sale period.

7. Prices and payments

7.1 Unless expressly stated otherwise, prices to purchase Passes as set out on the Platform are:

(a) in Australian Dollars;

(b) inclusive of any applicable taxes, including GST; and

are subject to policies attached to such pricing and are subject to change without notice in our discretion.

8. Exercising and fulfilment of Membership Benefits and Offers

Membership Benefits and Offers generally

8.1 Once you have purchased a Pass, the Pass will appear in your Account, enabling the opportunity to:

(a) access the corresponding Membership Benefits and/or Offer (as applicable) as and when they become available; and/or

(b) transfer or gift the relevant Membership Benefit (as applicable) and/or Pass to a third party, subject to clause 10.

8.2 The Membership Benefits and/or Offers will be fulfilled by Rugby AU and/or its third party representatives. You may be required to follow further directions from Rugby AU and/or such third party representatives in respect of certain Membership Benefits and Offers.

8.3 Membership Benefits and/or Offers may only be able to be exercised in specific periods, which will be communicated with the relevant Membership Benefit and/or Offer (eg time limited presale periods for Wallabies Test Matches). You are responsible for exercising, and/or accepting, the Membership Benefits and/or participating in the Offer within the specified period, and Rugby AU is not responsible, or liable to you, where you miss out.

8.4 Membership Benefits and/or Offers may be subject to event or game schedules (including those set by Rugby governing bodies), and therefore may be substituted, rescheduled, or cancelled, subject to clause 13. In such instances, you will be notified via your Account and via email. In respect of Membership Benefits and/or Offers that are not events or games and are delivered by third parties, to the extent any such Membership Benefit or Offer cannot be delivered or provided, we will offer you an alternative right or benefit of equal or greater value (in Rugby AU’s reasonable discretion).

Offers and Offer Passes

8.5 Without limiting clause 6, the ability to purchase, and/or register for, Offer Passes (where applicable), and therefore access all available Offers for your membership type, is not guaranteed and Offer Passes and Offers are subject to availability and membership type. Offers may only be available on particular days and there may be limited places available for certain Offers, so we encourage you to purchase, and/or accept the gifting of, Offer Passes as soon as they are made available.

8.6 An Offer Pass ties to a specific Offer and therefore you can only redeem an Offer Pass for the Offer that it is tied to.

8.7 The details, location, times, and capacity are different for each Offer, and therefore each Offer Pass has different characteristics in terms of quantity, price and redemption processes. These will be communicated to Account holders prior to purchase or registration.

8.8 Unless otherwise set out in the description of an Offer, holding one Offer Pass grants one person access to the corresponding Offer. If a group of people want to access an Offer, each person in that group will need to have an individual Offer Pass (although, one person may hold all the Offer Passes for a group in their Account).

8.9 Unless otherwise set out in the description of that Offer, once an Offer Pass has been utilised to access the associated Offer the right to access that Offer ceases.

9. Matches

9.1 To the extent that a Membership Benefit and/or Offer relates to priority access or presale rights in respect of a Wallabies Test Match, Lions Tour match or any other relevant match (as applicable), then such access is subject to time constraints, availability, ticket purchase limitations and/or other conditions, which will be communicated at the time of availability of the relevant Membership Benefit or Offer.

9.2 Unless otherwise specified or communicated at the time of availability of the relevant Membership Benefit or Offer, the ticketing benefits given to Members do not extend to Wallabies Test Matches played outside of Australia or as part of a Rugby World Cup or other matches or tournaments not controlled by Rugby AU.

9.3 Rugby AU may impose additional rules and regulations in relation to use of Member and/or guest tickets (see Clause 11 below).

10. Are Passes and Membership Benefits transferable?

10.1 Your Account will indicate whether your Membership Pass can be gifted and/or which Membership Benefits and/or Offer Passes can be gifted and enable the functionality to gift such benefits and/or Passes, subject to the remainder of this clause.

10.2 Rugby AU may charge a fee for gifting or transferring Membership Passes, Membership Benefits and/or Offer Passes to cover administrative costs. Any such fees will be communicated to you prior to the gift or transfer being confirmed.

10.3 Rugby AU is not obliged to recognise (whether or not it has notice of the interest or rights concerned) any equitable, contingent, partial or future interest in a Membership. Rugby AU may treat the person shown in its records as the Member as the absolute beneficial owner of the rights conferred by Membership.

Membership Passes

10.4 There are restrictions on the gifting and transfer of Membership Passes. A Membership Pass may be transferred once only by the original Member or purchaser.

10.5 When you gift or transfer a Membership Pass, the corresponding (unexercised) Membership Benefits will also transfer, and you will no longer have access to them. 

Membership Benefits

10.6 If Rugby AU designates a Membership Benefit as able to be gifted, it may be gifted once only by the original Member.

10.7 When you gift a Membership Benefit, you will no longer have access to that benefit in your Account.

10.8 We reserve the right to impose Membership Benefit-specific restrictions on gifting, having regard to the relevant Membership Benefit.

Offer Passes

10.9 If Rugby AU designates an Offer Pass as able to be gifted, it may be gifted once only by the original Member.

10.10 When you gift an Offer Pass, the corresponding (unexercised) Offer will also transfer, and you will no longer have access to it.

10.11 We reserve the right to impose Offer Pass-specific restrictions on gifting, having regard to the relevant Offer Pass.

11. Other rules and regulations including ticket conditions

11.1 Without limiting clause 2, the organisations in control of venues used for Wallabies Test Matches, Lions Tour match or any other relevant matches, as well as Rugby AU, have the right to impose on Members rules and regulations concerning, among other things:

(a) behaviour and conduct at the venue;

(b) standards of dress at the venue;

(c) restrictions on activities at the venue (such as smoking and consumption of alcohol);

(d) Members and their guests producing identification at matches;

(e) purchase of tickets to matches;

(f) use of Member and/or guest tickets; and

(g) transfer of Membership.

11.2 Members must comply with all rules and regulations imposed.

11.3 It is an essential condition of these terms that the Member and/or any person purchasing or utilising tickets accessed via the Member’s ticket-related Membership Benefits (if applicable) complies at all times with Rugby AU’s ticketing conditions. Such conditions will be notified to the Member and/or purchaser at the time of purchasing tickets. Where a Member is not the end-user of the tickets accessed via the Member’s ticket-related Membership Benefits, it is the responsibility of the Member to ensure the end user is aware of, accepts and complies with Rugby AU’s ticketing conditions.

11.4 Any cancellation, postponement or crowd reductions impacting a Wallabies Test Match, Lions Tour Match or other relevant match for which a Member has purchased tickets will be subject to the relevant ticket terms and conditions.

12. Cancellation or surrender of Membership

12.1 Rugby AU may cancel a Membership without refund (to the extent permitted by law) if the Member breaches these membership terms and conditions or any other rules and regulations imposed on Members.

12.2 Subject to any applicable laws, Memberships and Offers are not cancellable or refundable no matter the reason. A Member surrendering or purporting to cancel its Membership will not be entitled to a refund except as required by law or at the absolute discretion of Rugby AU.

13. Refund policy

13.1 Rugby AU will provide a refund or replacement where required to do so by law.

13.2 Subject always to clause 12.2, where you contact Rugby AU regarding a refund or replacement, Rugby AU reserves the right to request reasonable evidence from you of, or in relation to, the subject of your refund request. Providing such evidence does not limit Rugby AU's discretion to refuse the refund request.

14. Privacy notification

14.1 You hereby consent to Rugby AU collecting, using, disclosing and holding any personal information you provide to Rugby AU or Power’d (including through the Platform) in connection with your Membership (or application for Membership) in accordance with these terms and conditions, Rugby AU’s Privacy Policy and applicable laws and regulations. If you disclose or provide Rugby AU or Power’d with any personal information of any third party individual in connection with your Membership (or an application for Membership), you also warrant that you have obtained the express consent of such individual to disclose or provide such information.

14.2 Rugby AU respects the privacy of the individuals on whom Rugby AU collects, uses, discloses and holds personal information. Rugby AU has a Privacy Policy that is based on the Australian Privacy Principles under the Privacy Act 1988 (Cth).

14.3 Rugby AU uses the information it collects to administer the game of Rugby Union in Australia, to provide Rugby activities and Rugby-related services, to register, select and insure participants, and to assess the level of interest in the sport.

14.4 Rugby AU also uses your information to provide information, materials and promotions relating to Rugby AU and to Rugby Union which Rugby AU considers may interest you. Rugby AU may disclose your personal information to Power’d for the purposes of administering your Membership. Where you consent, we may also disclose that information to our affiliates (to enable them to provide Rugby activities and Rugby-related services, and administer the sport in their area), to our sponsors (to enable them to provide information, materials and promotional opportunities) and to certain other third parties.

15. Intellectual Property

15.1 Membership does not provide or grant you or any third party rights to or in the intellectual property or other rights of Rugby AU.

16. Disclaimer

16.1 All warranties, conditions and representations about Membership, Membership Passes, Membership Benefits, Offers and any related goods and services are excluded except to the minimum extent required by law (including the Australian Consumer Law).

16.2 Except as otherwise specified, Rugby AU is not responsible for any travel and/or accommodation to or from any matches, or food, beverage or entertainment, or any other cost or expense relating to the activation of, taking up or enjoyment of any Membership, Membership Benefit, Offer or any related goods or services.

17. General

17.1 Any failure by Rugby AU at any time to enforce these membership terms and conditions or any rights under them will not be a waiver of such rights or affect the validity of the membership terms and conditions.

17.2 If any provision of these membership terms and conditions is held by a court to be illegal, invalid or unenforceable under the applicable law, that term or provision will be severed from these membership terms and conditions and the remaining terms and conditions will be unaffected.

17.3 These membership terms and conditions are governed by, and construed in accordance with, the laws of New South Wales, Australia and the courts of New South Wales, Australia will have exclusive jurisdiction over any dispute arising out of these membership terms and conditions.
